1. Acceptance of Terms

By accessing the website of Vertex Automata ("Company", "we", "our", "us") or engaging our services, you ("Client", "User", or "you") agree to be bound by these Terms of Service. If you do not agree to these Terms, you must not use our website or services.

2. Description of Services

Vertex Automata provides custom artificial intelligence solutions, including but not limited to Python script development, LLM fine-tuning, API integrations, and enterprise automation architectures. The specific scope, deliverables, and timeline for any project will be outlined in a separate, mutually agreed-upon Statement of Work (SOW) or digital contract.

3. Intellectual Property Rights

  • Client Data: You retain full ownership of all data, proprietary information, and materials you provide to us for the purpose of training models or building workflows.
  • Agency IP: Vertex Automata retains all rights, title, and interest in our underlying frameworks, pre-existing codebases, methodologies, and proprietary AI models used to deliver your solution.
  • Deliverables: Upon full payment of the agreed-upon fees, you are granted a non-exclusive, worldwide license to use the final deployed systems for your internal business operations. You may not resell, reverse-engineer, or distribute our source code without explicit written permission.

4. Acceptable Use

When utilizing our platforms, web applications, or custom-built bots, you agree not to:

  • Use the systems for any unlawful, fraudulent, or malicious activity.
  • Attempt to bypass our security measures, rate limits, or API restrictions.
  • Feed sensitive, unauthorized, or illegal data into our AI models.

5. Payments, Billing, and Subscriptions

  • Our services are billed according to the engagement model selected (e.g., Starter, Professional, or Enterprise tiers).
  • Monthly retainer services (such as the Professional tier) are billed in advance on a recurring 30-day cycle.
  • Project-based engagements require a deposit before development begins, as outlined in your specific SOW.
  • Vertex Automata reserves the right to suspend API access or active workflows if an account is in arrears.

6. Disclaimers and Limitation of Liability

  • AI Output: Artificial intelligence and machine learning models are probabilistic systems. We do not guarantee that the outputs generated by our custom LLM integrations or cognitive systems will be 100% accurate, complete, or error-free.
  • Third-Party Downtime: We are not liable for disruptions caused by third-party infrastructure (such as OpenAI, Firebase, or external API endpoints) going offline.
  • Limitation of Liability: In no event shall Vertex Automata be liable for any indirect, incidental, special, or consequential damages, including lost profits or data loss, arising out of the use of our services. Our total liability shall not exceed the amount paid by you for the specific service in the three (3) months preceding the claim.

7. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Sri Lanka, without regard to its conflict of law provisions. Any legal action or proceeding arising out of these Terms shall be brought exclusively in the applicable courts of that jurisdiction.

8. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify active clients of any material changes. Continued use of our services after modifications indicates your acceptance of the updated Terms.
